"The era of structurally-grey crypto is over. Properly-structured crypto is wide open."
ASJ Group builds MiCA- and DAC8-aligned structures for token issuers, DAOs, exchanges and treasuries — with cold custody, licensed VASPs and defensible substance.
How we work with crypto, web3 & digital-asset operators.
The era of structurally-grey crypto is over. MiCA in the EU, DAC8 across the OECD, VARA and ADGM in the UAE, MAS in Singapore, and FINMA in Switzerland now define a workable operating environment for token issuers, exchanges, custodians, DAOs and family-office digital-asset treasuries.
ASJ Group builds crypto structures that are defensible under that environment — in two layers. The corporate layer handles issuance, treasury, custody and licensing. The private-client layer handles the founder or holder's inheritance, succession and tax residency. Both layers are designed together.
We do not custody assets. We do not hold private keys. We design the structure and coordinate the licensed operators — custodians, exchanges, banks — who do.
What we've seen go wrong.
- Issuing a token from the wrong jurisdiction and finding the primary listing venue will not accept it
- Treating custody as an operational afterthought and losing keys, or losing the tax basis for founder distributions
- Assuming a DAO does not need a legal wrapper — until a counterparty asks who signs the contract
- Structuring for the pre-MiCA world in a post-MiCA regulatory environment
The shape of the work.
Every engagement is fixed-fee, director-led, and quoted in writing before any work begins.
- 01Regulatory mapping: product, jurisdictions, licensing needs and reporting obligations (2–4 weeks)
- 02Structure design: issuer, treasury, custody, DAO wrapper, founder-side entities
- 03Entity formation, custody implementation and banking/on-ramp introductions
- 04Ongoing MiCA, DAC8, VASP and FATCA/CRS reporting frameworks
Questions we hear from crypto, web3 & digital-asset operators.
- Where should a token be issued today?
- For MiCA-scoped tokens with EU distribution, an EU issuer under a licensed CASP is usually cleanest. For utility tokens with global distribution, BVI, Cayman or the UAE (VARA) are often more appropriate. It depends entirely on product and distribution.
- How do you structure a DAO?
- A DAO-LLC or foundation wrapper gives the DAO contractual capacity, limited liability and a clean interface with off-chain counterparties. Wyoming DAO-LLC, Marshall Islands foundation and Swiss verein each fit different governance models.
- Can crypto be held inside a trust?
- Yes, through cold custody controlled by the trustee, with a documented key-access and succession protocol. Several trust jurisdictions now explicitly recognise digital assets as trust property.
